Role Summary
The Regional General Counsel will lead and direct the legal affairs of the geographic or vertical market region. This position provides practical, business-oriented counsel to regional leadership; oversees regional contracting, claims, disputes, litigation, and legal operations; protects the Company; enables responsible growth; promotes consistent legal risk management; and supports sound governance. All activities will be performed in support of the strategy, vision and values of JE Dunn.
- Autonomy & Decision-Making: Makes complex decisions on most tasks and consults Group General Counsel and/or Chief Legal Officer on enterprise-sensitive, high-exposure, cross-regional, or precedent-setting matters.

Key Role Responsibilities - Core
COUNSEL FAMILY – CORE
- Provides legal support on routine matters to the region to which they are assigned.
- Reviews project procurement documents and assists with proposal legal review.
- Prepares draft prime contracts and subcontracts with assistance of the project team.
- Provides counsel and guidance regarding transactions, programs, policies and procedures.
- Researches and prepares appropriate and effective draft legal opinions, memoranda, and other documents.
- Interprets laws, rulings, and regulations for relevance and to help the Company prepare clear and effective policies and practices to minimize legal risk.
- Assists with management of claims and litigation. Provides assistance to gather and prepare evidence to formulate defense or to initiate legal actions.
- Implements litigation hold memoranda.
- Provides support and/or guidance on investigations, disputes, administrative proceedings, labor and employment matters, and other legal issues affecting regional operations.
- Leads, supports and promotes a culture of diversity and inclusion within JE Dunn. Understands JE Dunn’s policy of non-discrimination and ensures positive, proactive implementation throughout the organization.
FINANCIAL MANAGEMENT
- Develops, manages and oversees key financial components (e.g., financial plans, budgets, forecasts) for assigned scope of responsibility to minimize risk and variance, and to maximize contributions to company revenue and margin.
- Reviews and assesses financial data, reports and records. Ensures employee compliance with related procedures to ensure effective and efficient operations.
- Creates and communicates financial targets and goals in order to accomplish broader financial objectives.
- Proactively monitors and interprets ongoing financial performance and responds appropriately. Assesses and mitigates financial risks.
- Makes decisions in light of broader financial goals and constraints.
LEADING OTHERS
- Inspires and facilitates an environment of effective communication, teamwork and recognition throughout the work program.

- Resolves complex and sensitive issues, coaching others towards effective problem solving, continuous improvement and problem prevention.
- Communicates vision and strategy, articulating the relationship between corporate plans and the goals and performance of the work program and individual employees. Leads and inspires team performance and productivity in alignment with broader work program and corporate goals and plans.
- Oversees both short-term and long-range operational planning and resource management through one or more levels of direct reports to optimize productivity and results that are aligned with corporate strategy and objectives.
- Develops and implements a range of talent management strategies and activities across the work program, such as evaluating and managing performance, building bench strength, providing formal and informal feedback, recruiting and staffing, employee learning and development, addressing complex employee relations risks and issues, workforce planning and compensation management. Coaches direct reports on a variety of management and HR processes in order to develop effective managers.
- Provides feedback and coaching to support team and individual employee performance, learning and career development.
- Serves as a change agent by supporting corporate and work program change initiatives. Develops plans to support corporate change management strategies in order to lead and manage change within the work program.
Key Role Responsibilities - Additional Core
In addition, this position will be responsible for the following:
- Serves as key lawyer/legal advisor on all major regional business transactions for the region, including contracts and joint ventures.
- Leads and manages the region’s internal legal function and staff including, but not limited to, contract management, claim management, and compliance and governance.
- Aligns regional legal support with enterprise legal standards, contracting strategies, risk profiles, and other standards established by the Chief Legal Officer and/or Group General Counsel.
- Manages outside counsel and other legal service providers within assigned scope.
- Represents or supports representation of the Company in mediations, arbitrations, as appropriate.
- Participates in contract negotiations and reviews and approves contract forms and documents.
- Reviews and approves advertising copy and public statements from a legal standpoint
- Oversees legal research efforts and prepares appropriate and effective legal opinions, memoranda, and other documents.
- Advises on legal aspects of the region’s financing, including assessing and advising on current and future business structures and legal entities.
- Manages and oversees the collection and preparation of evidence to formulate defense or to initiate legal actions.
- Leads or supports legal strategy for large or complex regional claims and disputes.
- Assumes an influential leadership role in community and industry relationship building through networking, representing the organization on boards and serving as the face of the organization to help promote the interests of the Company.

Education
- Doctorate Degree - Juris Doctor (Required)
- In lieu of the above requirements, equivalent relevant experience will be considered.
Experience
- 10+ years legal experience, practicing construction law (Required)
- 7+ years people management experience (Preferred)
- 5+ years financial management experience (Preferred)
- Construction litigation with large law firm (Preferred)
- In lieu of the above requirements, experience in a related practice, such as real estate, may be considered.
